01

Our Mission

We make the buying process simple.

We are dedicated to ensuring independent practice ownership remains a viable and attractive career path for dentists.

Our focus is 100% on Buyer Representation in practice acquisition scenarios and we'll make sure you buy the practice that is right for you on your terms.

02

How We Work

We believe in Outcome Based Engagement.

We don't hold seminars. We don't sell books or courses. And we don't host speaking events or conferences.

Said differently, we don't put the responsibility of operationalizing our insight on you.

Instead, we focus exclusively on hands-on 1:1 outcome based buyer representation for a small number of individuals or partnerships looking to embark on the path to independent practice ownership through acquisition.

Further, we guarantee our work - learn more below.

03

Phase Based Focus

We think about acquisitions in three distinct phases - each with their own goals and milestones.

Phase no. 01 - Search
Phase no. 02 - Acquisition
Phase no. 03 - Year One

Each phase is different, each requires unique consideration, and together they build a sound foundation for a successful career as a practice owner. While some other consulting programs focus on just pre or post acquisition phases, we believe the secret to our success is the continuity that comes from considering them as separate but connected parts of a balanced and wholistic approach to ownership.

01

Phase no. 01 - Search

The program begins with a guided search (up to 12 months) which focuses on defining the ideal practice, finding that practice, and preparing for ownership.

Specifically, we'll cover:

- Relocation plan (if applicable)
- Organizing personal finances and establishing premium

creditworthiness in preparation for bank financing
- Securing all needed insurances
- Assembling the professional team that will carry us through acquisition and ownership (lawyer, banker, insurance agent, etc.)
- Comprehensive market evaluation (for sale practices, off-market opportunities, demographic/economic factors, etc.)
- Building broker relationships and securing NDA(s) required for diligence
- Evaluating practices of interest (financial analysis, industry benchmarking, clinical compatibility review)
- Determining offer value & structure
- Finalizing LOI(s)

02

Phase no. 02 - Acquisition

Once we find the ideal practice to purchase, we shift into acquisition mode.

In this portion of the program, we'll be:

- Securing financing offers, comparing options, and negotiating terms
- Establishing your business entity(s)
- Negotiating sale structure (price, timeline, work-back period, non-compete, assets to be sold, etc.)

- Optimizing lease agreement
- Building the transition plan (patient/staff introductions, infrastructure decisions, technological improvements, vendor relationships, etc.)
- Designing your branding and marketing
- Finalizing insurance credentialing

- Reviewing operational flows and processes
- Preparing employment documentation, infrastructure, and benefits

03

Phase no. 03 - Year One

Your practice loan has funded, the sale has closed, and you are now an owner!

In the Year One phase, we'll check in as often as needed (typically bi-weekly) to make sure:

- Day-to-day operations are running smoothly
- Patients and staff are happy and stabilized
- Revenue and collections are realized and secured
- Insurance payments are processing properly
- Any changes are introduced gradually and gracefully (less is more early on but there are often improvements to offer patients and staff both)
- We have a plan for ongoing improvement and growth within the practice (platforms, technology, operational processes, staffing, hr benefits)

Program Features

01

Personal Foundation Building

We begin by evaluating your target geography and ideal practice profile. We'll work through any required relocation, establish personal creditworthiness, build seller and broker relationships, and comprehensively survey the market while establishing you as a priority buyer.

In the event your preferred market doesn't have any practices actively listed for sale, we can launch a direct contact campaign to connect you with sellers who might be willing to sell directly to you.

02

Ownership & Employer Checklist

Pursuing independent ownership means that in addition to being a practicing clinician, you are now also going to be a business owner and employer of people.

We'll make sure you are positioned for success from a legal, accounting, HR, IT, marketing, insurance, and operational perspective. Our expertise is in making this process feel lightweight and well organized.

03

Collaborative Negotiation & Proactive Coordination

A smooth transition requires collaborative negotiation, proactive coordination, and clear communication. We represent your interests in this endeavor with respect and consideration for all parties involved.

Whether you plan to work alongside the seller in the practice for a transition period after your purchase or complete a hand-off of keys on closing day, we'll make sure you, your staff members, and your patients feel well looked after.

04

Financing

Practice ownership (and real estate ownership if you are interested in that investment) is capital intensive. We will help you compare and secure top tier financing terms and an excellent banking relationship from one of our trusted healthcare-specific partners.

A practice purchase is a major investment by itself but when paired with a business loan, it's easily one of the most significant financial events you will experience. It is essential to get this right.

05

IT & Tech Stack

Our philosophy around technology is this - we want it to 1) enhance the ownership, employment, and patient experience, 2) free up time so that energy can be focused on patient outcomes, 3) disappear into the background.

We build strong technological foundations and automate away busywork so that you simply do not have to worry about IT while effortlessly greeting customers with modern interfaces and integrations.

06

Marketing

Marketing and branding may or may not be a big part of your business but either way, we'll make sure you are presenting yourself to the world exactly the way you want to and generating positive returns on any money spent in this area.

From digital and physical footprint design to patient review capture, a little bit of intention can go a long way towards creating a unique feeling in your practice.

07

Operations

The tools and platforms available to small business owners have never been better and the benefits a small business owner can offer employees have never been more compelling.

We bring a mix of Silicon Valley tech expertise and healthcare experience together to ensure your back of office operation is future-proof and delightful and attractive to high performing teammates.

08

Cash Flow

Keeping a practice financially healthy is important - we'll make sure your practice is optimized for frictionless cash flow. From patient financing offerings to receivables management, we'll ensure you're set up for success without interuption.

05

Why Practice Concierge?

01

We have deep transition expertise.

Our background is in practice finance - we've worked on thousands of ownership opportunities and successful acquisitions across the country and designed bank financing programs that are used to decision buyer <> seller fit with 99%+ transition success rate across billions of dollars of acquisition loans.

02

We offer dedicated buyer-exclusive support.

We don't represent sellers and we don't consult broadly beyond acquisition scenarios - we offer precision guidance for the most significant purchase you will likely make in your career.

While brokers who specialize in seller representation will work with you, they are highly incentivized to match you with their inventory and sellers and generally are limited in their ability to objectively survey the entire market (including listings from their direct competitors). A buyer-specific representative is an advocate for your interests and is not constrained by their own seller facing interests.

04

Our service pays for itself. In fact, we guarantee it or we'll refund you the difference.*

The average dental practice owner earns $50k-$150k more each year than the average dental associate. Compounded over a career, the difference is well into the millions. You deserve this. But, beyond an ownership income boost though, we'll achieve and document savings in critical areas like acquisition financing, accounts receivables, contracts, and more.

We're often in position to save tens (if not hundreds) of thousands of dollars across the transaction - there is no reason not to bring us onboard. We are so certain you'll find this investment to be a success that we offer a refund in the unlikely event we don't recover your entire engagement fee upon acquisition completion. We want you to feel great about working with us and we will ensure you find success with Practice Concierge if you use our services through a full acquisition process. That's our money back promise to you.

* The Practice Concierge money back guarantee applies only to Practice Buyer Representation program services that result in a practice acquisition. The initial Practice Buyer Representation deposit is non-refundable in the event an acquisition does not take place but can be credited towards a future Practice Buyer Representation fee upon acquisition closing. Off-Market Practice Search services are not covered by a guarantee - results are variable and Practice Concierge makes no promise of Off-Market Practice Search performance or outcome.

03

We level the playing field.

Practice sellers nearly always have expert representation in their practice sales who are highly incentivized to work in the seller's interests as well as their own but not yours. Sellers typically pay a percentage of their sale price in commission to the listing broker. The broker, however collaborative or cordial works for the seller and not the buyer. This asymmetric power imbalance is one of the reasons why it is critically important to come into a transaction of this level of complexity and significance with your own expert representation as a buyer.
